Terms of use
Updated 2 October 2026. SpindlMarket is operated by Byte Software LTD, company number 13370353.
SpindlMarket introduces buyers and sellers of industrial equipment. These terms explain the platform service, the responsibilities of its users and the limits of seller checks.
1. Using SpindlMarket
These terms govern your use of SpindlMarket, the listing, discovery and communication service operated by Byte Software LTD. They apply to buyers, sellers, business representatives and advertisers. Creating an account or knowingly using account features signifies agreement to these terms.
You must be at least 18, give accurate account information and have authority to act for any business you represent. Keep your password private and contact us if your account is compromised. Browsing does not oblige you to buy or sell anything.
SpindlMarket is currently in beta. Some listings and seller profiles may be used for testing and research and may not represent genuine offers for sale. Do not send sensitive identity or payment information when interacting with test listings or profiles.
2. Direct transactions between users
Your machinery contract, payment, delivery and returns are agreed directly with the seller. SpindlMarket does not hold funds, provide escrow or guarantee the transaction. Your statutory rights remain.
Byte Software LTD supplies the platform service. We are not the seller, buyer, auctioneer, machinery broker acting as your agent, insurer, lender, escrow provider or transporter. We do not process machinery payments or deposits, issue machinery invoices, take title to equipment or become party to a machinery sale contract merely by hosting a listing or conversation.
Buyers and sellers are responsible for negotiating and documenting their own agreement, including price and currency, taxes, condition, included tooling, ownership, payment, inspection, delivery, installation, risk, warranty and returns. Confirm bank details independently through a trusted channel. Do not treat a message, listing or enquiry pack as a guarantee from SpindlMarket.
We do not offer buyer protection, seller payment guarantees or transaction refunds. A transaction complaint should first be raised with the other party; you may also report suspected misuse to us. We can moderate access and content but cannot compel another user to perform a contract or refund a machinery payment.
3. Seller obligations
Publish accurate and current information, disclose known defects and hazards, and have the right to sell equipment and use its photographs and documents. Do not expose confidential serial numbers, personal data or third-party documents publicly without a lawful reason. Update unavailable, reserved and sold stock promptly.
State whether you act as a trader or as a private seller when dealing with a buyer. Company verification, incorporation and trader status are different things: a sole trader may be a trader, and a limited-company badge does not determine consumer rights. Do not claim to be a private seller to avoid obligations that apply to a trader.
Sellers are responsible for applicable product-safety, machinery, export, sanctions, tax and consumer requirements, and for the accuracy of any conformity or inspection claims. A platform listing is not regulatory approval.
4. Buyer checks and seller return terms
Check the seller's identity and authority, ownership and any finance or liens, equipment condition, service records, suitability, safety, site requirements and transport arrangements. Consider an independent qualified inspection and an under-power demonstration before committing funds.
Return terms on a listing are supplied by the seller. A no-returns option is not a waiver of mandatory consumer rights, remedies for misdescription or any right that law does not allow a seller to exclude. Confirm the seller's actual contract before paying. Applicable rights depend on trader status, buyer status, location and how the contract is made.
5. What verification means
Seller checks are a limited signal based on reviewed evidence. They do not guarantee legitimacy, reputation, ownership, equipment condition or a safe transaction. Carry out your own due diligence.
Checks describe specific evidence reviewed under a recorded policy, not an absolute confirmation that a company or representative is genuine. A postal code indicates access to an address; a registry record indicates recorded registration details. Neither alone proves authority to bind a business, machine ownership, solvency or honesty.
A seller badge is a projection of required current evidence checks. Evidence can be incomplete, outdated, misleading or fraudulent despite review. A pending or absent badge is not a finding of wrongdoing. Available checks vary by country; our UK postal and registry process does not imply an equivalent EU/EEA check. We may request further evidence, change a check or remove a badge when justified.
We describe the checks we actually perform and remain responsible for our own statements and legal duties. Verification is not an endorsement, warranty, inspection certificate or substitute for your checks.
6. Reviews and reputation
Public reviews use an Anonymous buyer label and moderated text. We retain the author link privately. Eligibility comes from a qualifying enquiry interaction with a seller response; it does not establish that a sale, payment or inspection occurred.
Reviews are users' opinions and experiences, not SpindlMarket's certification of a company's reputation. We do not guarantee every review's accuracy. Do not post fake, bought, incentivised-without-disclosure or abusive reviews, impersonate another person or manipulate ratings. Review moderation and reports are assessed under our community rules.
7. Content, moderation and reporting
Follow the community rules. Do not publish unlawful, fraudulent, discriminatory, threatening, sexually explicit or infringing material, spam, malware, misleading listings or stolen equipment. Do not use the service to harvest personal information or bypass security and rate controls.
We use automated text, image and file checks and staff review. A scan is a risk control, not a guarantee that a file is safe. We may block uploads, restrict features, suspend an account or withdraw content for a substantiated policy, legal or security reason, and retain evidence where lawfully needed.
Use Report content on listings or conversations, website feedback, or [email protected] without an account. Identify the content or URL, explain the facts and include proportionate supporting information. Do not send unnecessary identity documents. We consider reports and, where appropriate and lawful, explain the action. You may request review of a moderation or verification decision by email. Urgent criminal or physical-safety concerns should also be reported to the relevant authorities.
8. Your content and intellectual property
You retain rights in content you submit. Give us the permission needed to host, display, format, moderate and deliver that content to the intended recipients while providing the service, and to retain restricted copies where lawfully necessary. This is not permission to sell your private messages or identity evidence as advertising material.
You must have permission to use submitted photographs, logos, documents and descriptions. Public material may be indexed by search engines or copied by others. Do not scrape or republish private data, bypass access controls or use SpindlMarket's branding in a way that suggests an endorsement we have not agreed.
9. Sponsorships, advertisements and promotions
Ads and sponsorships fund the platform. A request does not create a charge or guarantee publication. Commercial scope, price or agreed in-kind contribution, dates, permitted creative, cancellation and any refund arrangements are confirmed separately before staff approval. We do not charge seller subscriptions or machinery sales commissions under the current model.
Homepage sponsors appear by the current sponsorship's agreed start date, earliest first, while their approved booking is active. Later expiry, pauses or a new booking can change their position. Other advertising placements have separately agreed availability. Paid placement does not improve verification, reviews or organic search rank, and is not an endorsement of an advertiser or its products.
We welcome discussion of tooling or equipment contributions for future community giveaways. This invitation is not a live prize promotion, entitlement to a prize or guaranteed audience size. Any promotion needs separate published rules, eligibility, dates, prize details, entry method and privacy information before entries open.
10. Privacy, cookies and communications
Our privacy notice explains data use, providers, rights and retention limits. Our cookie policy describes authentication, requested preferences and security technologies. Service emails support account security and verification; creating an account does not subscribe you to marketing.
Messages are encrypted in application storage and use HTTPS when hosted. This is server-side encryption, not end-to-end encryption. Authorised services and proportionately authorised staff can access information for service delivery, security and legal duties. Do not include passwords, card details or unnecessary sensitive personal information in messages.
11. Availability and responsibility
We provide the platform with the care required by applicable law. We cannot promise uninterrupted access or that every user statement, third-party website, company reputation or item of equipment is accurate, lawful, safe or suitable. Seek your own qualified advice for commercial, engineering and safety decisions.
To the extent permitted by law, we are not responsible for a buyer's, seller's, advertiser's or independent service provider's contractual performance or misconduct, or losses caused by their transaction rather than our own breach of duty. For business users, to the extent permitted and reasonable under applicable law, we exclude indirect or consequential loss and loss of profit, revenue or business opportunity arising from use of the platform.
Nothing excludes or restricts liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or consumer right that cannot lawfully be excluded. We do not exclude our statutory data-protection duties or claim immunity from our own unlawful conduct. These terms do not make an otherwise unfair or unlawful limitation enforceable.
12. Leaving the service and changes
You can stop using SpindlMarket and request account export or deletion in account privacy controls. Shared business responsibilities, disputes, legal holds and records that must be retained can require staff handling. The privacy notice explains this process and backup limits.
We may update these terms for service, legal or security changes. We will publish a dated version and give appropriate notice of material changes through the service or account email. Changes do not retrospectively rewrite an agreed machinery sale or sponsorship booking. If you do not accept a material change, stop using the affected feature and contact us about closing your account.
13. Governing law and complaints
Contact [email protected] with a platform complaint or a request for decision review. Provide the relevant account or content reference and the outcome you seek. Reporting to SpindlMarket does not replace a legal claim against a buyer or seller.
English and Welsh law governs these platform terms, subject to mandatory rights that apply where you live. Business disputes about the platform terms are subject to the courts of England and Wales. Consumers retain any right to rely on mandatory home-country protections and bring proceedings in a competent local court.
